Terms and Conditions

ACTIAN CORPORATION’S OFFICIAL RULES FOR THE GIVEAWAY (DESCRIBED BELOW)

By entering the giveaway described below within the timeframe specified below, you (“You”) are accepting the following terms and conditions (the “Giveaway Terms and Conditions”):

ENTRY: To participate in the giveaway described herein (the “Giveaway”), please do the following prior to 8 pm EDT on Wednesday, September 23, 2026:

No purchase is necessary. An alternate form of entry is to complete this online form.

PRIZE: 1 Actian-branded driver head cover and 1 Titleist G2 driver with a total approximate retail value of USD $500 (the “Prize”). Actian reserves the right, in its sole discretion, to substitute the Prize (or any component thereof) with cash or a prize of comparable value. The Prize is non-transferable and cannot be redeemed for cash.

ELIGIBILITY: This Giveaway is only open to residents of the United States. You must be over 18 years old to participate in the Giveaway. Employees and contractors of Actian Corporation (“Actian”) and its subsidiaries and affiliates and their immediate families are not eligible to participate in this Giveaway and are not eligible to win the Prize. Only a natural person who enters the Giveaway shall be eligible to receive the Prize. Only one entry may be submitted per person, and individuals submitting multiple entries will be ineligible to receive a Prize.

DISQUALIFICATION: Engagement pods, bot accounts, or duplicate entries will be disqualified. Void where prohibited or with respect to any participant that would breach any contract with any third party.

WINNER: 1 winner (the “Winner”) will be selected at random from eligible entries on Friday, September 25 at 8 pm EDT. Winner will be announced publicly on X and contacted via DM within 48 hours. Winner must respond to Actian within 48 hours of such contact by Actian to claim the Prize. The Winner will need to provide Actian with information (including, without limitation, proof of age, identity and/or shipping address) and/or complete additional documents and return them to Actian within 48 hours. Failure to provide the required information and/or complete additional documents within the required time period, or if a notification returned as undeliverable as addressed, will relieve Actian of its promise to provide You with the Prize.

PRIZE DELIVERY/CONDITIONS: If You are the Winner, Actian, at its cost, will ship the Prize to You at the address provided by You; provided that such delivery of the Prize to You is conditioned upon: (i) You complying with any and all applicable laws, rules, and regulations, and (ii) Your acceptance of, and compliance with, these Giveaway Terms and Conditions.

TAX: Winner is responsible for any and all applicable taxes.

PERSONAL DATA/PUBLICITY: You grant Actian permission to use Your name and personal information for the purpose of organizing and/or managing the Giveaway, and for related promotional purposes; and You agree that all of Your personal details provided in connection with this Giveaway will be stored at the offices of Actian. Your personal information may be disclosed to governmental departments if/as required under the relevant legislation.

RESERVATIONS: The decisions of Actian are final in all matters relating to the Giveaway. Actian reserves the right to disqualify any participant in its absolute discretion without notice for reasons stated in these Giveaway Terms and Conditions.

LIMITATION OF LIABILITY: You acknowledge and agree that Actian Corporation and its subsidiaries and affiliates and its and their employees, agents, and contractors shall not have any liability to You whatsoever in connection with the Giveaway or Your use and/or possession of the Prize, including without limitation for negligence or any loss or loss of opportunity or damages, whether direct, indirect, special or consequential, arising out of or relating to this Giveaway or the Prize, including but not limited to any of the following: (a) any technical difficulties or equipment malfunction related to the Prize (whether or not under Actian’s control), (b) any theft, unauthorized access or third party interference, (c) any entries that are late, lost, altered, damaged or misdirected (whether or not after receipt by Actian), or (d) any tax liability incurred by You; provided that nothing in these Giveaway Terms and Conditions shall exclude or limit the liability of any party for personal injury or death caused by negligence or for anything else which cannot be excluded or limited by law.

NON AFFILIATION/TRADEMARKS: Actian is not affiliated with the manufacturer(s) of the Prize (“Manufacturer(s)”), and Actian is not responsible for any warranty related to the Prize. Trademarks associated with the Prize are the intellectual property of the applicable Manufacturer.

RELEASE: You hereby release each Manufacturer from any liability in connection with the Giveaway, and You acknowledge that the Giveaway is in no way sponsored, endorsed, or administered by, or associated with the Manufacturer(s), X, Michael Kim, Titleist, and/or the PGA.

SEVERABILITY: If any of these rules are deemed to be unlawful, invalid, or otherwise unenforceable: (i) the affected rules shall be deleted from these Giveaway Terms and Conditions, but (ii) the remaining rules shall continue in full force and effect.
