Google Cloud Early Access Survey Promotion Terms and Conditions

By participating in the Google Cloud Early Access Survey Promotion (the “Promotion”), you are accepting the following terms and conditions (the “Promotion Terms and Conditions”):
1. To participate in the Promotion, you must complete and submit Actian’s Google Cloud Early Access Survey at the following link https://forms.gle/vcP5brBgUfLNgmdX8 and the survey results must be received by Actian during the period from 7:30 am EDT on September 3, 2020 to 5:00 pm EDT on September 25, 2020. Only one survey per person may be submitted, and entrants submitting surveys from multiple accounts will be ineligible.
2. There will be 10 winners. Each winner shall receive a $50 Amazon gift card (“Gift Card” or “Prize”). Each Gift Card has an approximate retail value of USD$50. Actian reserves the right in its sole discretion to substitute a Prize with cash or a prize of comparable value. A Prize is not exchangeable or transferable and cannot be redeemed for cash.
3. The winners of the Prizes will be chosen at random from eligible participants on September 21st, 2020 at 10pm PT. The odds of winning depend on the number of eligible participants, and the winners will be notified by email by September 25th, 2020.
4. Employees and contractors of Actian and its affiliates and their immediate families are not eligible for the Promotion.
5. Employees of any government are not eligible for the Promotion.
6. You must be over 18 years old to participate, and a resident of the US or the United Kingdom.
7. Participation in the Promotion is considered consent for Actian to use your personal information to send you information about Actian products and services which may be of interest to you. If you do not wish to receive this information, please follow the instructions given to unsubscribe. You grant Actian permission to use your name for the purpose of organizing and/or managing the Promotion, and for related promotional purposes; and You agree that all personal details of the entrants will be stored at the offices of Actian.
8. By taking part in the Promotion, you agree to be bound by these Promotion Terms & Conditions and by the decisions of Actian which are final in all matters relating to the Promotion. Actian reserves the right to disqualify any participant in its absolute discretion for any reason and without notice in accordance with the Promotion Terms & Conditions.
9. If you receive a Gift Card under this Promotion, you may have to provide additional information (including, without limitation, proof of age or identity) and/or complete additional documents and return them to Actian within a specified period. Failure to provide additional information and/or complete additional documents within the required time period, or notification returned as undeliverable as addressed will result in your disqualification from the Promotion and an alternative recipient will be selected.
10. The receipt by you of the Gift Card is conditional upon you complying with any and all applicable laws, rules and regulations including, without limitation, the Promotion Terms and Conditions. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you in connection with the Promotion, will be governed by, and construed in accordance with, the substantive laws of the state of California.
11. You acknowledge and agree that Actian and its employees, agents, subcontractors, officers, directors, shareholders, agents, representatives, parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors shall not have any liability to you whatsoever in connection with the Promotion or your use and/or possession of the Gift Card, including without limitation for negligence or any loss or loss of opportunity or damages, whether direct, indirect, special or consequential, arising out of or relating to this Promotion or the Gift Card, including but not limited to any of the following: (a) any technical difficulties or equipment malfunction (whether or not under Actian’s control), (b) any theft, unauthorized access or third party interference, (c) any survey submission that are late, lost, altered, damaged, or misdirected (whether or not after receipt by Actian), or (d) any tax liability incurred by a participant; provided that nothing in these Promotion Terms and Conditions shall exclude or limit the liability of any party for personal injury or death caused by negligence or for anything else which cannot be excluded or limited by law.
12. NO PURCHASE NECESSARY (Purchase does not improve your chance of winning)
13. If any of these rules are deemed to be unlawful, invalid or otherwise unenforceable, the affected rules shall be deleted from these Promotion Terms and Conditions but the remaining rules shall continue in full force and effect.
14. Void where prohibited or with respect to any participation that would breach any contract with any third party.

16. You agree to release and hold Actian Corporation, its employees, agents, subcontractors, officers, directors, shareholders, agents, representatives, parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Promotion, including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy.
